Terms of Service

1. Acceptance
By creating an account or using MedAestheticsOS ("Service"), you agree to these Terms on behalf of yourself and any medical spa, clinic, or facility ("Clinic") you represent. If you do not agree, do not use the Service.
2. Eligibility & Licensure
You represent that each user with clinical access holds all licenses required by their jurisdiction (RN, NP, PA, MD/DO, etc.). Clinics are responsible for verifying provider scope of practice, medical director oversight, and Good Faith Exam requirements under applicable state law.
3. Your Data & PHI
Clinics own all Protected Health Information ("PHI") entered into the Service. MedAestheticsOS acts as a Business Associate for HIPAA purposes when a signed Business Associate Agreement ("BAA") is in place. Without a BAA, do not enter identifiable PHI.
4. Acceptable Use
You will not: (a) upload unlawful, infringing, or malicious content; (b) reverse engineer the Service; (c) use the Service to send unsolicited SMS/email in violation of TCPA/CAN-SPAM; (d) share credentials; (e) attempt to access another Clinic's tenant.
5. Fees & Payment
Subscription fees are billed in advance and non-refundable except where required by law. Failed payments may result in suspension after 10 days' notice.
6. Third-Party Services
The Service integrates with third parties (payments, SMS, email, calendar, AI). Their terms govern their portions of the Service. We are not responsible for third-party outages or acts.
7. Medical Disclaimer
MedAestheticsOS is a software platform. It is NOT a medical device and does NOT provide medical advice, diagnosis, or treatment. AI-generated suggestions (consult advisor, no-show scoring, outcome previews) are decision-support only; a licensed clinician must independently verify all clinical decisions.
8. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAESTHETICSOS'S AGGREGATE LIABILITY WILL NOT EXCEED FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You will defend and indemnify MedAestheticsOS against claims arising from your clinical practice, your content, your users' actions, or your violation of these Terms.
11. Termination
Either party may terminate for material breach with 30 days' written notice and opportunity to cure. Upon termination, you may export your data for 30 days; thereafter data is deleted per our retention schedule.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Disputes will be resolved in Delaware state or federal court.
13. Changes
We may update these Terms; material changes will be posted with at least 30 days' notice. Continued use after the effective date is acceptance.
